2. Sponsor and Prize Provider:
The John Gore Organization, Inc. 1619 Broadway, 9th Floor, New York, NY 10019 (“Sponsor” and “Prize Provider”).

3. Agreement to Official Rules:

4. Timing:
The Contest has four phases:
A. The submission phase begins on Wednesday, February 12, 2020 at 10:00 a.m. Eastern Time ("ET") and ends on March 23, 2020 at 12:00 a.m. ET (the "Submission Phase").

5. How to Enter Submission Phase:
During the Submission Phase, each entrant must record one (1) video, not longer than 60 seconds in length, of themselves demonstrating how/why they are the biggest Broadway Fan (the “Video”) and upload their Video to their personal account on one of YouTube, Instagram or Vimeo (each a “Video Hosting Platform”) along with the hashtags #BroadwaysBiggestFan and #Contest. Entrant must then access the entry page at www.broadway.com/biggestfan (the “Entry Site”) and complete an entry by providing their first name, last name, email address, and the URL or link for the Video as posted on the Video Hosting Platform of entrant’s choice, as well as checking the box next to a statement confirming that entrant is at least the age of majority in their jurisdiction of residence and has read and agreed to the Official Rules (collectively, the “Submission”) via the Contest entry page located at the Entry Site. Submissions that include links to Videos not posted on YouTube, Instagram or Vimeo will not result in a valid Submission. Only one (1) Submission per entrant and per Video will be accepted during the Submission Phase. In the event of multiple Submissions, the first Submission entry by an entrant at the Entry Site will be accepted and all other Submissions from that entrant will be deemed void. If more than one (1) person links to the same Video or a substantially similar video in their Submission, only the first Submission with the Video will be valid. Any attempt by an entrant to (i) enter more than one (1) Submission on the Entry Site by using multiple/different email/postal addresses, telephone numbers, identities, accounts, Video Hosting Platforms, and/or any other method employed to circumvent the letter and spirit of these Official Rules, may result in disqualification of that entrant from participation in this Contest. The Sponsor will not verify receipt of entries into the Contest. By making a Submission to Sponsor, entrant agrees that their Submission conforms to the Submission Content Guidelines and Restrictions as defined below (collectively, the “Guidelines”), that entrant is the sole and exclusive owner of the Submission, and that Sponsor, in its sole discretion, may remove entrant’s Submission and disqualify entrant from the Contest if it believes that entrant’s Submission fails to conform to the Guidelines.

By making a Submission via the Entry Site, each entrant further warrants and represents the following with respect to his/her Submission: (a) entrant agrees that his or her Submission conforms to the Guidelines, and that Sponsor, in its sole discretion, may remove entrant’s Submission and disqualify entrant from the Contest if it believes that entrant’s Submission fails to conform to the Guidelines, (b) entrant is the sole and exclusive owner of the Submission; (c) the Submission is entrant’s own creation; (d) the Submission will not infringe on any rights of any third parties; (e) Entrant’s participation in Contest will not violate any agreement to which entrant is a party, and (f) any third parties appearing in the Submission are at least the age of majority in their jurisdiction of residence and have given entrant appropriate written consent (which shall be provided to Sponsor upon request thereof) to be included in Video and for their appearance in the Video to be used as permitted herein. If others appear in the Video with entrant, only entrant, as the individual submitting the Video in accordance with these Official Rules, will be entered into the Contest and eligible to win the Prize.

Providing a Submission constitutes entrant’s agreement that such Submission and any copyrights, trademarks, or other intellectual property therein, become the sole property of Sponsor and will not be returned. Each entrant hereby grants, transfers, assigns, and conveys all right, title, interest, ownership, and all subsidiary rights in and to their Submission including all copyrights therein, throughout the world, in perpetuity, to Sponsor. Accordingly, Sponsor shall have an irrevocable, unlimited, unrestricted, perpetual, right to use, reproduce, modify, publish, create derivative works from, and display such Submissions in whole or in part, on a worldwide basis, with or without identification of the entrant or any authors of the Submission, in whatever form and in whatever circumstances Sponsor sees fit, and to incorporate it into other works, in any form, media or technology now known or later developed, for any purpose whatsoever, including for promotional or marketing purposes. Further, each entrant consents to Sponsor doing (or omitting to do) any acts in respect of the Submission which may otherwise constitute an infringement of the entrant’s moral rights, to the fullest extent permitted by law. Winner agrees to execute such further documents as may be required to give effect to the assignment set forth herein. Entrants agree that entering the Contest may affect his/her legal rights, including, but not limited to, each entrant’s ability to obtain copyright registration or other intellectual property or proprietary rights with respect to the information and materials disclosed in the Submission. Entrants agree that Sponsor has not induced any entrant to enter the Contest, and is not responsible or liable to any entrant for any loss of right suffered by any entrant for entering the Contest.

Sending a Submission also constitutes entrant’s agreement to refrain from distributing, publishing, displaying or selling entrant’s Submission, in whole or in part, except as specifically permitted under these Contest Rules without receiving prior written approval from Sponsor.

All entrants must have a valid email address. No automated entry devices and/or programs permitted. All Submissions become the sole and exclusive property of the Sponsor and receipt of entries will not be acknowledged or returned. Sponsor may distribute or publish Submissions, in whole or in part, at its discretion. Sponsor is not responsible for overlooked, lost, late, stolen, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled Submissions, which will be disqualified, or for problems of any kind whether mechanical, human or electronic. Only fully completed Submissions are eligible. Proof of submission will not be deemed to be proof of receipt by Sponsor.

Each entrant acknowledges that other entrants may have used ideas and/or concepts in their Submission that may be similar in idea or concept to what is included in entrant’s Submission. Each entrant understands and agrees that he/she shall not have any claim against any other entrant or Sponsor arising out any such similarity or be entitled to any compensation because of any such similarity.

Sponsor’s decisions are final and binding in all matters relating to this Contest, including, but not limited to, interpretation and application of these Official Rules. By entering the Contest, entrants fully and unconditionally agree to be bound by these rules and the decisions of Sponsor.

6. Winner Determination
Following the Submission Phase, a panel of judges selected by Sponsor, in their sole discretion, will rank the best eligible Submissions based on creativity and select approximately ten semi-finalists (the “Semi-Finalists”). The total number of Semi-Finalists will depend on the overall quality and quantity of Submissions. The judges will announce the semi-finalists on or about 6:00 p.m. ET on March 30, 2020.

Videos from the Semi-Finalists shall be embedded and viewable on the Entry Site. Any visitor to the Entry Site can follow the instructions to select one or more Submissions that they think are best. Each visitor to the Entry site will only be able to vote one time per Submission. All votes on the Entry Site must be received before 12:00 a.m. ET on Monday, April 6, 2020. The Semi-Finalist Submissions with the three highest scores will become the Finalists.

Next, a panel of judges designated by the Sponsor will review the Finalists and select one potential Winner based on creativity (“Potential Winner”). Sponsor will announce the Potential Winner on or about 6:00 p.m. ET on April 20, 2020 and notify them as described below.

Any attempt by an entrant to manipulate the Entry Site to increase or decrease an entrant’s chances of winning, such as by using bots or multiple IP addresses or other means, or any attempt to influence a judge may result in disqualification of such entrant from participation in this Contest.

The Potential Winner will also be notified by Sponsor by email and/or phone on or around April 10, 2020 (the “Notification”). The Potential Winner will have 48 hours from time of receipt of the Notification to (a) confirm that the Notification has been received and (b) respond to the message indicating acceptance of the Prize. In order to confirm that Potential Winner is the person who posted the Video in the applicable Submission, Sponsor will then email a unique code to Potential Winner, which Potential Winner will then need to post in a comment on their Video within twenty-four (24) hours. Once Sponsor has completed this process to verify that Potential Winner is the same person that posted the Video in the applicable Submission, Potential Winner will be required to complete and return the Required Documents as set forth in Section 8 below in order to become the ultimate winner (“Winner”). If Winner does not confirm that notification has been received, respond to the message confirming acceptance of the Prize, and complete the verification step and return the Required Documents as described in Section 8 below, Sponsor may in its discretion select another Potential Winner who will be subject to the same requirements as above in order to be deemed the Winner.

Sponsor's decisions as to the administration and operation of the Contest and selection of the Potential Winner are final and binding in all matters related to the Contest, including, but not limited to, interpretation and application of these Official Rules. Sponsor has no obligation to distribute, publicize or otherwise release the winning Submission or any other Submission.

7. Odds of Winning:
The odds of winning are contingent upon the number of qualified entries received by Sponsor during the Submission Period, the results of judging and the public vote.

8. Winner Requirements
Receiving a Prize (as defined below) is contingent upon compliance with these Official Rules. Except where prohibited, the Potential Winner will be required to (i) provide a copy of government issued identification, (ii) complete, sign, and return a notarized Affidavit of Eligibility and Liability and Publicity Release, and (iii) complete, sign, and return an IRS Form W-9 (if Potential Winner is a US resident) (collectively, the “Required Documents”). Potential Winner must deliver the Required Documents to Sponsor in two (2) ways: (i) via Facsimile or email (a facsimile number or email address will be provided by Sponsor) within 48 hours of Sponsor sending the blank Release to Potential Winner and (ii) by mailing the original Required Documents to Sponsor at the address set forth in Section 2 above, Attn: Broadway’s Biggest Fan Contest 2020. If Potential Winner is a Canadian resident, they will also be required to correctly answer a mathematical skill-testing question as well as submit the Required Documents. The Required Documents are to be time stamped, in the case of email or facsimile, no later than 48 hours, and postmarked, in the case of postal mail, no later than five (5) business days after Sponsor sends the blank Release to Potential Winner. If the Potential Winner cannot be contacted, fails to execute and return the Required Documents in both ways required within the relevant time periods, fails to comply with these Official Rules, or in the case of a Canadian resident, fails to correctly answer the mathematical skill-testing question, or if Prize is returned as undeliverable, such Potential Winner forfeits the Prize. In the event that the Potential Winner is disqualified for any reason, an alternate Potential Winner may be determined in the Sponsor’s sole discretion by selecting the Submission with the next highest rank, as determined by the judges. Acceptance of any Prize shall constitute and signify each Winner’s agreement and consent that Sponsor may use such Winner’s name, city and state of residence, likeness, Submission, statements and/or Prize information in connection with the Contest, worldwide, in any media now known or hereafter developed, including the Internet, in perpetuity, without limitation and without further payment or consideration, except where prohibited by law. The Winner may also be required to participate in public relations activities as requested by Sponsor. Without limiting the generality of these Official Rules, Winner shall irrevocably grant, transfer, convey and assign to Sponsor the entirety of the rights in and to the Submission and all renewals and extensions of copyright, and the right to secure copyright registrations thereto in perpetuity, including without limitation the rights to use the Submission for any and all purposes in any and all media whether now known or hereafter developed, on a worldwide basis, in perpetuity and Winner shall also waive all moral rights in the Submission. Winner agrees to execute such further documents as may be required to give effect to such assignment. Winner accepts and acknowledges that Sponsor shall not be obligated to use the Submission and that Sponsor in its sole discretion shall have the right to refrain from using the Submission. Sponsor shall not incur any liability whatsoever to the extent Sponsor chooses to refrain from any exploitation of its rights hereunder. Winner will indemnify Sponsor and all other Released Parties (as defined in Section 10, below) and any licensee of Sponsor against all claims, damages, liabilities, and expenses (including reasonable counsel fees and legal expenses) arising out of any breach of these terms. Winner agrees that nothing in these Official Rules grants Winner a right or license to use Sponsor’s name or any Sponsor trademark or service mark.

If Winner is a US resident, Sponsor will deliver to such Winner IRS Form 1099 reflecting the actual cash value of the Prize awarded within the time prescribed by law. In the event it is deemed during the verification process that Potential Winner does not have a unique, personal and valid social security number, or has otherwise failed to fulfill any conditions or requirements under these Official Rules, such Potential Winner will be disqualified and will forfeit the Prize, and the entrant whose Submission received the next highest rank, as determined by the Sponsor designated judges, will be selected as an alternate Potential Winner.
